Modifications to this agreement will be effective immediately as of the date on which the modified agreement is posted on the Site. You can determine when this agreement was last modified by referring to the "LAST UPDATED" legend at the top of this agreement. Your continued use of the Site after such modifications indicates your acknowledgement and acceptance of the agreement as modified.

3. TRADEMARKS AND COPYRIGHT/PERSONAL USE. All material on this Site, including, but not limited to text, graphics, images, audio and video, trademarks, service marks, logos, domain names, slogans and other indicia of origin that appear on or in connection with the Site, are owned, controlled by or licensed to Roadrunner and the Affiliated Entities. The Site and the material on it are solely for your personal and non-commercial use. You agree not to remove any copyright, trademark or other proprietary rights notice from the Site or materials originating from the Site; frame or mirror any part of the Site; create a database by systematically downloading and storing Site content; or use any robot, spider, site search/retrieval application or other manual or automatic device to retrieve, index, "scrape," "data mine" or in any way gather Site content or reproduce or circumvent the navigational structure or presentation of the Site.

Additionally, you acknowledge and agree that you (and not Roadrunner) are responsible for obtaining and maintaining all telecommunications, broadband, and computer hardware, equipment, and services needed to access and use the Site, and paying all charges related thereto.

By participating in any such Promotion, you will become subject to those rules, which may vary from the terms and conditions of this agreement, and you acknowledge that to the extent that the terms and conditions of such rules conflict with this Agreement, the terms and conditions of such rules shall control. Roadrunner urges you to read the rules applicable to any Promotion, which will be linked from such Promotion.

11. TERMINATION. Roadrunner reserves the right, in its sole discretion, to terminate your access to or use of the Site, at any time and for any reason, including without limitation if Roadrunner believes that you have violated or acted inconsistently with the letter or spirit of this agreement or any other Roadrunner rules, policies, terms or conditions. Upon any such termination, your right to use the Site will immediately cease. You agree to indemnify and hold harmless Roadrunner and the Affiliated Entities, and their respective officers, directors, employees, agents, representatives, vendors, suppliers, and third party service providers from and against any and all claims, actions, demands, causes of action and other proceedings arising from or concerning (a) your use of or activities in connection with the Site; (b) any violation of this agreement by you or through your Site account; or (c) any allegation that any Submission or other materials that you make available through the Site infringe or otherwise violate the copyright, trademark, trade secret, privacy or other intellectual property or other rights of any third party (collectively, "Claims"); and you agree to reimburse Roadrunner and the Affiliated Entities, and their respective officers, directors, employees, agents, representatives, vendors, suppliers, and third party service providers, on demand for any damages, losses, costs, judgments, fees, fines and other expenses they incur (including attorneys' fees and court costs) as a result of any Claim(s).

17. GOVERNING LAW. This agreement is entered into in the State of New York and shall be governed by, and construed in accordance with, the laws of the State of New York, exclusive of its choice of law rules. You agrees to submit to the exclusive jurisdiction of any state or federal court located in the County of New York, New York, and you waive any jurisdictional, venue or inconvenient forum objections to such courts.

18. MISCELLANEOUS. If any provision of this agreement is found to be unlawful, void, or for any reason unenforceable, then that provision shall be deemed severable from this agreement and shall not affect the validity and enforceability of any remaining provisions. This agreement, together with any policies or agreements referred to herein (including without limitation the Privacy Notice), is the entire agreement between us relating to the subject matter hereof and supersedes any and all prior or contemporaneous written or oral agreements between us with respect to such subject matter. You may not assign, transfer or sublicense any or all of your rights or obligations under this agreement without our express prior written consent. Roadrunner may assign, transfer, or sublicense any or all of its rights or obligations under this Agreement in its sole discretion. No waiver by either party of any breach or default hereunder will be deemed to be a waiver of any preceding or subsequent breach or default. Any heading, caption or section title contained herein is inserted only as a matter of convenience, and in no way defines or explains any section or provision hereof. Notices to you may be made via posting to the Site, by email, or by regular mail, in Roadrunner’s discretion. The Site may also provide notices of changes to this agreement or other matters by displaying such notices or by providing links to such notices. Without limitation, you agree that a printed version of this agreement and of any notice given in electronic form shall be admissible in judicial or administrative proceedings based upon or relating to this agreement to the same extent and subject to the same conditions as other business documents and records originally generated and maintained in printed form.

19. JURISDICTION; VOID WHERE PROHIBITED. The Site is controlled and operated by Roadrunner from the United States, and is not intended to subject Roadrunner or any Affiliated Entity to the laws or jurisdiction of any state, country or territory other than that of the United States. Although this Site is accessible worldwide, not all products or services discussed or referenced on this Site are available to all persons or in all geographical locations, and Roadrunner does not represent or warrant that the Site or any part thereof is appropriate or available for use in any particular jurisdiction. Roadrunner reserves the right to limit, in its sole discretion, the provision and quantity of any product or service to any person or geographic area if it so desires.
